This KYC & Merchant Verification Policy ("Policy") describes the identity verification, business verification, customer due diligence, merchant onboarding, risk assessment, and compliance procedures implemented by EARNMET TECHNOLOGIES PRIVATE LIMITED ("Earnmet", "Company", "we", "our", or "us").

This Policy applies to all merchants, vendors, business users, partners, affiliates, organizations, and any individual or entity seeking to register for, access, or use merchant-related services provided through the Earnmet platform.

This Policy forms an integral part of the Earnmet Terms and Conditions, Privacy Policy, Acceptable Use Policy, AML Policy, and all other applicable agreements governing the use of Earnmet Services.

By applying for a merchant account, business account, seller account, vendor account, or any other commercial relationship with Earnmet, you acknowledge that you have read, understood, and agreed to this Policy.

1. PURPOSE OF THIS POLICY

Earnmet is committed to maintaining a secure, compliant, transparent, and trustworthy platform. To protect customers, merchants, financial institutions, payment partners, regulatory authorities, and the integrity of the platform, Earnmet may require identity verification and business verification before granting access to certain services.

The purpose of this Policy is to establish procedures designed to verify the identity of users, validate the legitimacy of businesses, reduce fraud, prevent financial crime, support regulatory compliance, protect the Earnmet ecosystem, and ensure that only authorized persons and lawful businesses are permitted to use merchant-related services.

Verification procedures help Earnmet understand who is using the platform, the nature of their business activities, and whether the proposed activities present unacceptable legal, financial, regulatory, security, or reputational risks.

2. WHO MUST COMPLETE VERIFICATION

Verification may be required for any user depending on the nature of the services requested, transaction volumes, risk indicators, regulatory obligations, payment processing requirements, or internal compliance considerations.

Verification requirements may apply to merchants, vendors, service providers, business owners, sole proprietors, partnerships, companies, trusts, non-profit organizations, affiliates, resellers, agencies, consultants, contractors, and any other persons or entities using the platform for commercial purposes.

Earnmet reserves the right to require verification from any user at any time, regardless of whether verification was previously completed.

3. INFORMATION WE MAY COLLECT

As part of the verification process, Earnmet may request information necessary to establish identity, ownership, authority, legitimacy, and compliance.

The information requested may vary depending on the type of applicant, business structure, regulatory requirements, risk profile, transaction activity, payment provider requirements, and other relevant factors.

Earnmet may request personal information such as legal name, date of birth, residential address, contact information, nationality, government-issued identification details, photographs, video verification records, biometric verification where legally permitted, and other identifying information.

For businesses, Earnmet may request business registration certificates, incorporation documents, tax registration certificates, GST registration details, PAN information, Udyam registration details, partnership agreements, trust deeds, licenses, permits, ownership information, shareholder details, director information, authorized representative information, proof of address, and banking information.

Additional documentation may be requested whenever necessary to satisfy legal, regulatory, operational, security, compliance, or business requirements.

4. VERIFICATION PROCEDURES

Earnmet may conduct verification using manual reviews, automated systems, third-party verification providers, government databases, publicly available information, payment service providers, financial institutions, credit agencies, sanctions screening providers, fraud prevention systems, and other lawful sources.

Verification may include identity confirmation, document validation, address verification, business verification, ownership verification, beneficial ownership reviews, source-of-funds reviews, sanctions screening, politically exposed person (PEP) screening, adverse media screening, fraud detection, risk scoring, transaction analysis, and other compliance procedures.

Verification procedures may occur before account approval, during onboarding, periodically during the business relationship, or whenever new information becomes available.

Completion of verification does not create any obligation on the part of Earnmet to approve an account, provide services, or maintain a business relationship.

5. ENEFICIAL OWNERSHIP VERIFICATION

Where applicable, Earnmet may require disclosure of beneficial owners, controlling persons, directors, officers, partners, trustees, authorized representatives, and individuals exercising significant control over a business or organization.

Applicants may be required to identify any individual who directly or indirectly owns, controls, manages, or benefits from the business.

Earnmet reserves the right to verify beneficial ownership information through independent sources and may require supporting documentation at any time.

Failure to provide accurate ownership information may result in rejection, suspension, or termination of services.

6. BUSINESS ACTIVITY REVIEW

Earnmet may review the nature of a merchant's business activities before approving access to merchant services.

The Company may assess products, services, websites, marketing materials, customer acquisition practices, payment flows, operational models, transaction patterns, geographic exposure, industry classifications, and compliance history.

Businesses operating in restricted, prohibited, high-risk, unlawful, deceptive, fraudulent, or non-compliant sectors may be denied access to the platform.

Approval of a merchant account does not constitute an endorsement of the merchant's products, services, or business practices.

Merchants remain solely responsible for ensuring compliance with all applicable laws and regulations.

7. ONGOING MONITORING

Verification is not a one-time process.

Earnmet may conduct periodic reviews throughout the duration of the business relationship to ensure continued compliance with legal obligations, regulatory requirements, risk management standards, payment provider requirements, and internal policies.

Ongoing monitoring may include review of account activity, transaction patterns, customer complaints, chargeback levels, dispute rates, business changes, ownership changes, compliance concerns, sanctions screening, and fraud indicators.

Merchants agree to cooperate with such reviews and promptly provide any additional information requested by Earnmet.

8. RE-VERIFICATION REQUIREMENTS

Earnmet reserves the right to require re-verification whenever necessary.

Re-verification may be required when there is a material change in ownership, management, control, business activities, products, services, contact information, banking information, legal status, regulatory status, transaction volume, geographic operations, or risk profile.

Merchants may also be required to complete re-verification if documents expire, become outdated, contain discrepancies, or no longer satisfy compliance requirements.

Failure to complete re-verification may result in service restrictions or account suspension.

9. FALSE, MISLEADING, OR INCOMPLETE INFORMATION

Users must ensure that all information submitted during the verification process is accurate, complete, current, authentic, and not misleading.

The submission of false information, altered documents, forged records, misleading statements, concealed ownership structures, fictitious identities, or inaccurate business information constitutes a serious violation of EarnMet policies.

Where such conduct is identified, Earnmet may reject applications, suspend accounts, terminate services, report the matter to relevant authorities, withhold settlements where legally permitted, and pursue any available legal remedies.

10. FAILURE TO COMPLETE VERIFICATION

Earnmet may decline to establish or continue a business relationship where verification requirements are not satisfied.

Failure to provide requested documentation, failure to cooperate with compliance reviews, inability to verify identity, inability to verify business ownership, or failure to meet compliance standards may result in denial of access to services.

Earnmet reserves the right to suspend, limit, restrict, or terminate accounts until verification requirements have been fulfilled.

The Company shall not be liable for any losses arising from verification-related decisions made in good faith.

11. RECORD RETENTION

Information collected during verification processes may be retained for as long as necessary to satisfy legal obligations, regulatory requirements, contractual obligations, compliance obligations, dispute resolution requirements, fraud prevention needs, security purposes, and legitimate business interests.

Retention periods may continue even after account closure, termination, suspension, or cessation of the business relationship.

All information shall be handled in accordance with the Earnmet Privacy Policy and applicable laws.

12. USE OF THIRD-PARTY VERIFICATION PROVIDERS

Earnmet may engage third-party service providers to assist with identity verification, business verification, fraud prevention, sanctions screening, compliance reviews, risk assessments, document validation, and related activities.

By applying for merchant services, users authorize Earnmet to share information with such providers as reasonably necessary to complete verification procedures.

Third-party providers may process information in accordance with their own privacy practices and contractual obligations.

13. NO GUARANTEE OF APPROVAL

Submission of an application, completion of verification requirements, provision of documents, or participation in compliance reviews does not guarantee approval of a merchant account or continued access to services.

Earnmet reserves the right to approve, reject, suspend, limit, restrict, or terminate any account at its sole discretion and in accordance with applicable law.

The Company is not obligated to disclose internal risk assessments, fraud indicators, compliance concerns, or proprietary evaluation criteria used in making such decisions.

14. MULTI-LANGUAGE PLATFORM DISCLAIMER

Earnmet provides access to its platform and policies in multiple languages for user convenience.

Certain translations may be generated or supported through automated translation technologies, including but not limited to Google Translate and similar machine translation services.

Users acknowledge that translated content may contain inaccuracies, omissions, contextual variations, grammatical inconsistencies, or differences in interpretation.

In the event of any discrepancy, inconsistency, ambiguity, conflict, or difference between the English-language version of this Policy and any translated version, the English-language version shall prevail and govern.

Earnmet shall not be responsible for any misunderstanding, dispute, loss, liability, or claim arising from reliance upon translated content.

15. MODIFICATIONS TO THIS POLICY

Earnmet reserves the right to amend, modify, replace, update, or revise this KYC & Merchant Verification Policy at any time.

Any modifications shall become effective upon publication on the EarnMet platform unless otherwise specified.

Continued use of the Services following publication of revisions constitutes acceptance of the updated Policy.
